Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Luxi Prize website, applications, games, and related services (collectively, the "Services"), operated by Nyric Games Inc ("we", "us", "our"). By accessing or using the Services, you agree to these Terms, our Privacy Policy, our Official Sweeps Rules, and our Responsible Social Gameplay Policy, each incorporated by reference.
1. Important Notices
- Luxi Prize is not gambling. The Services are a free-to-play social game with the optional ability to win prizes through a sweepstakes. No purchase is necessary to play or to win. A purchase will not increase your chances of winning.
- No real-money wagering. Gold Coins have no monetary value and can never be redeemed for cash or prizes.
- Arbitration & class-action waiver. Section 18 requires most disputes to be resolved by binding individual arbitration and waives class actions. You may opt out within thirty (30) days (Section 18.6).
2. Definitions
- Gold Coins (GC): a virtual social-gameplay token used to play Standard Play games. GC are purchasable, have no cash value, and are not redeemable.
- Sweeps Coins (SC): free sweepstakes entries used in Promotional Play, subject to the Official Sweeps Rules. SC are never sold; they are obtained free with GC purchases, through promotions, or via the free Alternative Method of Entry (AMOE). Eligible SC may be redeemed for prizes subject to verification and the thresholds in Section 11.
- Standard Play / Promotional Play: gameplay using GC / SC respectively.
- Restricted Territories: jurisdictions where the Services (or SC play) are unavailable — see Section 4.
3. Eligibility
3.1 You must be at least 18 years of age and the age of majority in your jurisdiction.
3.2 You must be a natural person residing in an eligible jurisdiction (Section 4) and accessing the Services from within it.
3.3 One account per person. Employees, contractors, and their immediate household members of Nyric Games Inc are ineligible to redeem prizes.
3.4 We may require identity and age verification at any time (Section 12).
4. Geographic Restrictions
The Services are offered only in eligible jurisdictions of the United States and Canada. SC play and prize redemption are not available in the Restricted Territories: California, Connecticut, Delaware, Idaho, Indiana, Iowa, Kentucky, Louisiana, Maine, Michigan, Montana, Nevada, New Jersey, New York, Oklahoma, Tennessee, and Washington (draft — canonical list in src/data/restricted-states.ts, aligned to the Ifrah Law legal opinion of 2026-06-25 plus a Delaware/Kentucky conservative superset; pending ADR 0004 state whitelist and Luxi Prize's own legal opinion). GC purchases made from within certain Restricted Territories will be voided and refunded, less an administrative fee of up to 10%.
5. Changes to the Terms and Incorporated Policies
We may update these Terms and any incorporated policy. Material changes will be notified through the Services or by email. Continued use after changes take effect constitutes acceptance.
6. Limited, Revocable License
We grant you a personal, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial entertainment. Virtual coins are licensed, not sold or owned, may not be transferred, sold, or assigned, and may be forfeited on account closure or breach.
7. Your Account
7.1 You must register accurate information and keep your credentials secure. You are responsible for activity under your account.
7.2 One account per person, device, household, IP address, and payment instrument, unless we expressly permit otherwise.
7.3 You may close your account at any time via customer support. We may suspend or terminate accounts for breach, fraud, or as required by law.
8. Games and Contests
Games are provided for entertainment. Outcomes are determined by random number generation. We may add, modify, or remove games and features at any time.
9. Purchases
9.1 You may purchase GC packages (which include complimentary SC) through our authorized payment processors. All purchases are final except as required by law or these Terms.
9.2 You authorize us and our payment administrator Nyric Games Inc to charge your selected payment method. Initiating a chargeback or payment dispute may result in account suspension and forfeiture of coins.
9.3 Dormant accounts may be subject to administrative handling as permitted by applicable law.
10. Promotions
We may offer promotions with their own terms. Where a promotion conflicts with these Terms, the promotion terms control for that promotion.
11. Redemption of Prizes
11.1 Eligible SC may be redeemed for prizes subject to identity verification (Section 12) and the Official Sweeps Rules.
11.2 Draft redemption parameters (pending finalization): minimum redemption of 100 SC (1 SC = US$1 equivalent), a 1× playthrough requirement on SC obtained, a maximum of US$10,000 per day, and processing of up to 10 business days. Prizes are paid to a verified account in your name; joint accounts with minors are prohibited.
11.3 We may allocate large redemptions in smaller increments over a number of days.
12. Verification
We may require government-issued ID, proof of age and address, and other documentation, and may use third-party identity, age, and geolocation providers, before permitting play or redemption. We may withhold redemption pending verification.
13. Responsible Social Gameplay
We are committed to responsible play. See the Responsible Social Gameplay Policy for self-exclusion, limits, and support resources.
14. Intellectual Property
The Services and all content are owned by Nyric Games Inc or its licensors and are protected by intellectual-property laws. You receive no rights except the limited license in Section 6.
15. User Conduct and Content
You agree not to misuse the Services, including fraud, collusion, automated play, multiple accounts, or circumventing geographic or verification controls. You are responsible for any content you submit and grant us a license to use it in connection with the Services.
16. Third-Party Websites and Content
The Services may link to third-party content we do not control and for which we are not responsible.
17. Disclaimers; Limitation of Liability; Indemnification
The Services are provided "as is" without warranties to the fullest extent permitted by law. To the maximum extent permitted by law, our aggregate liability is limited, and we are not liable for indirect or consequential damages. You agree to indemnify us against claims arising from your breach of these Terms or misuse of the Services.
18. Binding Arbitration and Class-Action Waiver
18.1 Initial dispute resolution. Before arbitration, you must contact customer support and attempt to resolve the dispute informally for at least sixty (60) days.
18.2 Except for the matters in Section 18.7, any dispute shall be resolved by binding individual arbitration administered by JAMS under its applicable rules.
18.3 Class-action waiver. You may not bring claims as a class representative or class member, or in any representative capacity.
18.4 Waiver of jury trial. You and we waive any right to a jury trial.
18.5 Arbitration costs and procedures follow JAMS rules; your portion of fees is capped at US$250 (draft). Batch arbitration may apply to 20 or more similar claims.
18.6 Opt-out. You may opt out of this Section 18 by written notice within thirty (30) days of first accepting these Terms.
18.7 Small-claims matters and injunctive relief for intellectual-property misuse are excluded from arbitration.
19. Miscellaneous
Entire agreement; severability; no waiver; assignment by us permitted; force majeure; notices via the Services or email.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of Delaware without regard to conflict-of-law principles. The Federal Arbitration Act governs Section 18.
